Calendar and lease documents used to manage a lease renewal option

Commercial Leasing

Lease options
need strict timing.

Advice on exercising, responding to and documenting commercial and retail lease options and renewals in Victoria.

Options & Renewals

Renewal rights are deadline-driven.

An option can preserve a tenant's location, fit-out investment and goodwill. For landlords, it can provide income certainty but limit flexibility, future redevelopment plans or the ability to reset terms. The option clause should be read before negotiations start and well before the last exercise date.

Renewal disputes often begin with small administrative failures: a notice sent to the wrong address, a missed reminder, an unresolved default, an uncertain market rent process or a guarantee that was assumed to continue. Those issues should be checked while there is still time to correct the position.

We advise tenants and landlords on option notices, landlord reminder obligations, market rent review mechanics, renewal documents, disclosure, continuing guarantees and what to do when a deadline may have been missed.

Renewal Strategy

Do not let negotiation replace a valid notice.

Parties often negotiate new commercial terms while the option period is running. That can be sensible, but it is risky if the tenant assumes the negotiation protects the renewal right. Unless the lease or statute says otherwise, the option usually still needs to be exercised in the required form and within the required window.

Market rent renewals also need disciplined handling. The lease may set a sequence for notices, nominations, valuation evidence and appointment of a valuer. A late or incomplete step can shift leverage and make the renewed term harder to administer.

Tenant Position

Diarise the option window, check default conditions, serve a compliant notice and keep negotiation separate from preserving the renewal right.

Landlord Position

Check reminder obligations, tenant default, market rent process, redevelopment plans, disclosure and whether fresh security or guarantees are needed.

Market Rent

Prepare comparable evidence, understand the valuation mechanism and avoid informal rent positions that cut across the lease.

Missed Deadline

Act quickly. The available arguments depend on the lease, reminder notices, conduct, prejudice and any retail leasing protections.

Small timing or notice errors can decide whether the renewal takes effect.

Common Questions

Options and renewals, answered.

These questions commonly arise when a lease term is nearing expiry.

What is an option to renew?

An option is a contractual right allowing the tenant to renew the lease for a further term if the option conditions and notice requirements are satisfied.

When should a tenant diarise an option?

As soon as the lease is signed. The tenant should diarise the first and last exercise dates, then review the lease months before the window opens.

How is an option exercised?

Usually by written notice served in the manner required by the lease. The exact address, method, timing and wording should be checked before the notice is sent.

What if the tenant is in default?

Some option clauses require the tenant not to be in default. The lease and any statutory rules should be reviewed before assuming the option is lost or valid.

Does the landlord have to remind the tenant?

For retail leases, landlord notice obligations may apply. Late or missing reminder notices can affect the option period. Non-retail leases depend more heavily on the clause.

How is rent set for the renewed term?

The lease may provide fixed increases, CPI, market rent or another mechanism. Market rent clauses should set a process for nomination, valuation and disputed rent.

Can a landlord refuse a valid option?

If the option is validly exercised and conditions are met, the landlord is generally bound to grant the renewed term. Disputes usually turn on notice, default or interpretation.

Can an option be negotiated instead of exercised?

Yes, parties can negotiate a fresh lease or renewal, but negotiation should not accidentally allow the option deadline to pass without protection.

What if the option deadline has passed?

Urgent advice is needed. The available arguments depend on the lease, retail leasing rules, reminder notices, conduct and whether the landlord has suffered prejudice.

Do guarantees continue on renewal?

It depends on the guarantee wording and renewal documents. Landlords and tenants should confirm whether fresh guarantees or releases are required.
